These Terms of Service ("Terms") govern your use of the website seohubdigital.com and any services provided by SEOHUB DIGITAL LTD ("Seohub Digital", "we", "us"). By accessing the website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.
By submitting an enquiry form, requesting an audit, or entering into a service agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms. These Terms apply to all visitors to the website and to all clients who engage our services.
Where services are provided under a separate written agreement or statement of work, the terms of that agreement will take precedence over these Terms to the extent of any inconsistency.
Seohub Digital provides paid advertising management (Google Ads, Meta Ads, LinkedIn Ads, and others), SEO services, and growth consulting to business clients. The scope of services for each engagement is defined in the relevant proposal, statement of work, or service agreement.
We reserve the right to decline to provide services to any prospective client at our discretion, and to modify or discontinue any service offering with reasonable notice.
To enable us to deliver services effectively, clients are responsible for:
We are not responsible for delays or underperformance caused by a client's failure to fulfil these obligations.
Fees for our services are as set out in the applicable service agreement or invoice. Unless otherwise agreed in writing:
Unless otherwise agreed in writing, intellectual property in materials we create (ad copy, creative concepts, campaign structures, reports) is assigned to the client upon full payment of all applicable fees.
We retain the right to reference client engagements in our portfolio and case studies, subject to client approval of specific disclosures. Clients grant us a licence to use their brand materials (logos, images, copy) solely for the purpose of delivering the agreed services.
Each party agrees to keep confidential any proprietary or sensitive information received from the other party in connection with the services ("Confidential Information"), and not to disclose it to third parties without prior written consent. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
Confidentiality obligations survive termination of the service engagement for a period of three years.
To the maximum extent permitted by applicable law, Seohub Digital's total liability to any client in connection with services provided shall not exceed the total fees paid by that client in the three months immediately preceding the event giving rise to the claim.
We shall not be liable for any indirect, consequential, or incidental losses, loss of profits, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such losses.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.
We will provide services with reasonable care and skill. However, we do not guarantee specific advertising performance outcomes, search engine rankings, or revenue results. Digital advertising and SEO results depend on many factors outside our control, including platform algorithm changes, market conditions, competitor activity, and client-side factors such as website quality and product-market fit.
The website and its content are provided on an "as is" basis. We make no warranties regarding the accuracy, completeness, or fitness for purpose of any information on the website.
Either party may terminate a service engagement by giving 30 days' written notice, unless a different notice period is specified in the service agreement. We may terminate immediately if a client breaches these Terms or any service agreement and fails to remedy the breach within 7 days of written notice.
Upon termination, all fees accrued up to the termination date become immediately due and payable. We will provide reasonable assistance to transfer materials and account access to the client or their nominated replacement supplier.
These Terms and any dispute arising from them are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
